Terms of Service
These terms cover your use of the Outfrank platform, API and managed services. They are written to be read, not to be survived. If something here is unclear, email support@outfrank.com and we will explain it in plain language.
1. Who this agreement is with
Outfrank is operated by Outfrank Ltd, a company registered in England and Wales. “You” means the organisation that opens an account. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
2. Your account
You are responsible for the security of your account, for the people you invite into it, and for the sending domains and mailboxes you connect. Tell us promptly if you believe an account has been compromised.
You must be at least 18 and must not be barred from using the service under applicable law or sanctions regimes.
3. What you may send
You may send business communications to recipients you have a lawful basis to contact. You may not send unsolicited consumer marketing, deceptive content, or anything covered by our Acceptable Use Policy, which forms part of these terms.
Compliance with CAN-SPAM, GDPR, PECR, CASL and any other law applying to your sending is your responsibility. Outfrank provides tooling — authentication, unsubscribe headers, suppression, consent records — but the targeting decisions are yours.
4. Fees and billing
Plans are billed monthly or annually in advance. Usage above your plan limits pauses sending rather than automatically charging you. Prices exclude VAT and applicable sales taxes.
Upgrades are prorated immediately. Downgrades take effect at your next renewal. Annual plans cancelled within the first 30 days are refunded pro rata.
5. Your data
Your contacts, campaigns and content remain yours. We process them only to provide the service, as described in the Privacy Policy and Data Processing Addendum.
We do not use your contact data or message content to train models, and we do not sell it. You can export everything from the dashboard at any time.
6. Availability
We aim for continuous availability and publish incidents on our status page. Enterprise plans carry a contractual 99.9% uptime commitment with service credits. Other plans are provided without an SLA.
7. Suspension
We may suspend an account that is damaging shared infrastructure, generating abuse complaints at a level that threatens other customers, or breaching the Acceptable Use Policy. Except where the law or an ongoing abuse investigation prevents it, we tell you why and what would resolve it.
8. Liability
To the extent permitted by law, our aggregate liability is limited to the fees you paid in the twelve months before the claim. We are not liable for lost profits, lost business or reputational harm arising from your sending.
Nothing here limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be limited.
9. Ending the agreement
You can cancel at any time from the dashboard, effective at the end of your current billing period. We can end the agreement on 30 days' notice, refunding any prepaid unused period.
10. Changes
We may update these terms. Material changes are notified by email at least 30 days before they take effect, and the date at the top of this page always reflects the current version.
11. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
